Provision of Services
FabriMatch GmbH ("FabriMatch", "we", "the Platform") provides a digital marketplace connecting buyers of custom manufactured parts ("Clients") with production facilities ("Manufacturers"). By utilizing the platform, you agree to engage exclusively through the provided deal-room and transaction infrastructure for all matches initiated via the AI engine.
Services include, but are not limited to: AI-powered manufacturer matching, secure negotiation deal rooms, escrow payment processing, production tracking, quality inspection workflows, and logistics coordination.
FabriMatch acts as an intermediary platform and is not a party to production contracts between Clients and Manufacturers. We do not manufacture, ship, or directly handle physical goods.
Eligibility & Accounts
The Platform is available to registered businesses and authorized representatives. By creating an account, you represent that you are at least 18 years of age and have the legal authority to bind the entity you represent.
Each user is responsible for maintaining the confidentiality of their account credentials. You must immediately notify FabriMatch of any unauthorized access. We reserve the right to suspend accounts that violate these terms or engage in fraudulent activity.
Manufacturers must complete KYC/KYB verification (identity verification and bank account validation) before receiving payouts. This is required by PSD2 and Anti-Money Laundering regulations.
Intellectual Property & Technical Data
Proprietary technical data — including CAD files (STEP, STL, IGES), 2D drawings (PDF, DXF), specifications, and any other engineering documentation — remains the exclusive intellectual property of the uploading Client.
Manufacturers are granted a strictly limited, non-transferable, revocable license to access and utilize these files solely for the purpose of quoting and fulfilling accepted orders on the FabriMatch platform.
Any secondary use, distribution, reverse-engineering, or retention of client technical specifications outside the FabriMatch environment constitutes a material breach of these terms and may violate international intellectual property law. Technical files are encrypted at rest (AES-256) and access is logged with full audit trails.
Payments & Escrow
FabriMatch offers three payment modes: Direct Payment (one-time Stripe checkout), Installment Plans (3, 6, or 12 monthly payments via Stripe Subscriptions), and Escrow (funds held on-platform until delivery acceptance).
For Escrow payments, funds are authorized but not captured until the Client approves delivery or the 14-day auto-release grace period expires. If the Client raises a dispute during the inspection window, funds remain frozen until resolution.
Manufacturer payouts are processed via SEPA bank transfer (Wise) to the manufacturer's verified IBAN within 7 business days of escrow release. All amounts are in EUR.
Platform Fees
FabriMatch charges a platform service fee calculated as a percentage of the total order value. The fee is transparently displayed during checkout and deducted before manufacturer payout. Clients pay the full order amount; manufacturers receive the order amount minus the platform fee.
Fee structure is based on order volume, material complexity, and applicable production method. Custom enterprise pricing is available for high-volume accounts.
Quality & Inspection
Manufacturers are required to submit inspection photos and quality documentation before shipping. Clients have a 14-day inspection window upon delivery to accept, reject, or request corrections.
If a Client rejects an order, the Manufacturer may resubmit corrected parts. After the maximum number of rejections, the order enters dispute resolution. Auto-release of escrow funds occurs 14 days after the last inspection submission if no action is taken.
Disputes & Arbitration
In the event of quality or delivery disputes, either party may initiate the FabriMatch arbitration process. Dispute evidence (photos, measurements, communications) must be submitted within the inspection window.
FabriMatch provides a technical arbitration service staffed by qualified engineers. Both parties agree to abide by the findings of the platform's inspection report for final payment resolution. Escrow funds are frozen during active disputes.
If arbitration does not resolve the dispute, parties retain the right to pursue legal remedies in the courts of competent jurisdiction as specified in Section 10.
Limitation of Liability
FabriMatch shall not be liable for defects in manufactured goods, delivery delays caused by Manufacturers or logistics providers, or any indirect, incidental, or consequential damages arising from the use of the platform.
Our maximum aggregate liability for any claim arising from or relating to these terms shall not exceed the total platform fees paid by the claimant in the 12 months preceding the claim.
This limitation does not apply to liability arising from gross negligence, willful misconduct, or violations of applicable mandatory law.
Termination
Either party may terminate their account at any time. Upon termination, all active orders must be fulfilled or mutually cancelled. Escrow funds for in-progress orders will be handled according to the dispute resolution process.
FabriMatch reserves the right to immediately suspend or terminate accounts that violate these terms, engage in fraud, or pose a risk to other platform users. Data retention follows GDPR requirements (see Privacy Policy).
Governing Law & Jurisdiction
These terms are governed by and construed in accordance with the laws of the Federal Republic of Germany. Any disputes arising from these terms shall be subject to the exclusive jurisdiction of the courts in Berlin, Germany.
For EU consumers, mandatory consumer protection provisions of your country of residence apply to the extent required by applicable law.
