Version: 1.0 Service provider: Norbert Łaszanowski AI Development, Poland, NIP 1251797261 ("FabriMatch")
These terms apply only when the buyer of an order asks FabriMatch to arrange the transport of that order. They add to the FabriMatch Terms of Service. If the two conflict on transport, these terms prevail.
1. What the service is
1.1 The manufacturing contract between the buyer and the manufacturer is EXW (the goods are handed over at the manufacturer's premises). Without this service the buyer collects the goods or sends their own carrier.
1.2 With this service FabriMatch, acting as a forwarder (art. 794 et seq. of the Polish Civil Code), contracts a carrier in its own name and for the buyer's account to carry the goods from the manufacturer to the address the buyer gives. FabriMatch does not carry the goods itself. The carrier is the one the buyer selects from the options shown.
1.3 FabriMatch pays the carrier with its own funds and charges the buyer for the service. It does not hold or forward money on behalf of the manufacturer for this service.
1.4 Shipments are parcels of up to 70 kg each. Heavier goods (pallets, freight) are not booked through this service. For consumers the service is offered only for shipments that start in the EU.
2. How a price is formed and accepted
2.1 The manufacturer declares the parcel (weight, dimensions, contents, value, pickup address). FabriMatch obtains live prices from carriers for that parcel. The manufacturer confirms which options it can hand over to; only those are offered to the buyer.
2.2 The price shown to the buyer is made of:
- the carrier price quoted for the selected service;
- FabriMatch's handling fee of 5% of the carrier price, at least EUR 4.00;
- optional shipment insurance of 1.5% of the declared value, at least EUR 5.00, if the buyer chooses it;
- VAT where it applies (see section 8).
2.3 By selecting an option and accepting these terms the buyer orders the service at the price shown. The price is held for 72 hours; the buyer pays it by bank transfer (SEPA) with the payment reference shown. A transfer that arrives after that is still accepted at the held price unless section 2.4 applies.
2.4 The carrier is asked again for its price when the label is bought. If the carrier price has risen by up to 10%, FabriMatch bears the difference. If it has risen by more, nothing is bought and the buyer chooses either to pay the difference or to receive a full refund within 14 days.
3. Manufacturer's declaration and handover
3.1 The manufacturer is responsible for the accuracy of the parcel declaration and for packaging fit for carriage. Carrier surcharges caused by an inaccurate declaration (weight, dimensions, contents) are charged to the manufacturer.
3.2 The label is bought once the buyer has approved the final inspection and the order is ready for pickup. The manufacturer hands the parcel to the carrier with the label and, where needed, the customs documents.
3.3 Risk in the goods passes as agreed in the manufacturing contract (EXW: on handover to the carrier at the manufacturer's premises).
4. Customs and import
4.1 Shipments are booked DAP (delivered at place, duties unpaid). For goods entering the EU the buyer is the importer of record and pays import duties, import VAT, CBAM obligations and clearance fees charged by the carrier or customs, as set out in section 5.5 of the Terms of Service.
4.2 The manufacturer provides an accurate description, HS code, country of origin and value of the goods for the customs declaration.
5. Liability for the goods in transit
5.1 The carrier is liable for loss of, damage to or delay of the goods under the law and conventions that govern the carriage (for international road carriage the CMR Convention, limited to 8.33 SDR per kg of gross weight; for air carriage the Montreal Convention, limited to 22 SDR per kg) and its own terms.
5.2 As a forwarder FabriMatch is liable for the diligent selection of the carrier and the proper arrangement of the shipment (art. 799 of the Civil Code). On request FabriMatch files the claim with the carrier on the buyer's behalf or assigns its claims against the carrier to the buyer.
5.3 Optional insurance covers the declared value of the goods against loss and damage in transit, in excess of the carrier's liability, on the insurer's terms.
6. Receiving the goods and reporting damage
6.1 The buyer inspects the parcel on delivery and notes any visible damage or shortage on the carrier's delivery document.
6.2 Damage that was not visible on delivery must be reported within 7 days of delivery through the order's "Report a problem" function, with photos.
6.3 A carrier scan confirming delivery counts as the delivery of the order. The buyer may still object within the period stated in the Terms of Service before the manufacturer is paid.
7. Cancellation and refunds
7.1 Before paying, the buyer may cancel the service or switch to arranging transport themselves at no cost.
7.2 After paying and before the label is bought, the buyer may cancel, and FabriMatch refunds the full amount paid within 14 days. The same applies if the order is cancelled or the manufacturer cannot hand over.
7.3 After the label is bought the service is being performed and is not refundable, except for any amount the carrier refunds for an unused label, which FabriMatch passes on in full.
7.4 Consumers. A consumer (and a sole trader buying for a purpose that is not professional for them) may withdraw from this service within 14 days of ordering it, without giving a reason. A buyer who asks for the label to be bought before that period ends confirms that they lose the right of withdrawal once the service has been fully performed (art. 38(1)(1) of the Polish Consumer Rights Act). A consumer who withdraws before the label is bought receives a full refund.
8. Invoice and VAT
8.1 FabriMatch issues an invoice for the service to the buyer once the payment is received.
8.2 VAT is charged as follows: to a business buyer, at the rate of the place where the buyer is established (Polish VAT for a buyer in Poland; reverse charge for a buyer with a valid EU VAT number in another member state; no EU VAT for a buyer outside the EU); to a consumer, at the rate of the member state where the transport starts.
9. Personal data
To book and track the shipment FabriMatch shares the recipient's name, company, address, phone number and email, and the sender's address, with EasyPost and the selected carrier, as described in section 8.3 of the Privacy Policy. This is necessary to perform the service (art. 6(1)(b) GDPR).
10. Complaints and law
10.1 Complaints about the service: support@fabrimatch.com. FabriMatch answers within 14 days.
10.2 These terms are governed by Polish law. A consumer keeps the protection of the mandatory law of their country of residence.
